Terms of Service

1. Acceptance of Terms

By accessing or using Stimma ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Stimma is a desktop application for AI-powered image and video generation with lineage tracking. The Service includes both local functionality and optional cloud features available through paid subscriptions.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

  • Generate illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Create deepfakes or misleading content of real individuals without consent
  • Circumvent usage limits or abuse the Service
  • Interfere with or disrupt the Service or servers
  • Violate any applicable laws or regulations

5. Content Ownership

Your Content: You retain ownership of content you create using the Service. By using cloud features, you grant us a limited license to store and process your content as necessary to provide the Service.

Our Content: The Service, including its design, features, and documentation, is owned by B1 Research, LLC and protected by intellectual property laws.

6. Subscriptions and Payments

Paid features are available through subscription plans:

  • Subscriptions automatically renew unless cancelled before the billing period ends
  • Prices may change with 30 days notice
  • Refunds are handled on a case-by-case basis
  • You may cancel at any time; access continues until the end of your paid period

7. Balance System

The Service uses a dollar-denominated balance system for AI generation features. Please read this section carefully as it affects your use of purchased and granted balance.

7.1 Types of Balance

There are two types of balance:

  • Starter Balance: Granted monthly with your subscription. Starter balance expires at the end of each billing period and does not roll over.
  • Purchased Balance: Obtained through one-time balance pack purchases. Purchased balance does not have a monthly expiration but is subject to the inactivity policy below.

7.2 Platform Fee

A 5% platform fee is applied to all balance pack purchases. This fee covers credit card processing and platform overhead. The platform fee is shown as a separate line item at checkout. The platform fee does not apply to subscription payments.

7.3 Active Subscription Required

Balance requires an active paid subscription to use. If your subscription ends or is cancelled, your balance (both starter and purchased) will be frozen and cannot be spent until you resubscribe. Balance remains visible in your account but is not usable without an active subscription.

7.4 Balance Top-Up Purchases

Balance packs are one-time purchases that add balance to your account. An active subscription is required to purchase balance packs. Free tier users must subscribe before purchasing additional balance. All balance pack purchases include the 5% platform fee.

7.5 Balance Usage Order

When you use balance, starter balance (which expires sooner) is consumed first, followed by purchased balance. This ensures you get the most value from balance that would otherwise expire.

7.6 Balance Expiration

  • Starter balance expires at the end of each billing period. Unused starter balance does not roll over to the next period.
  • Purchased balance does not expire monthly, but is subject to the 12-month inactivity policy described below.

7.7 Inactivity Expiration

If you do not maintain an active subscription for 12 consecutive months, all remaining balance (including purchased balance) will be forfeited. The 12-month period begins when your last subscription ends. Resubscribing at any point resets this timer.

We will send reminder notifications at 30 days, 7 days, and 1 day before balance forfeiture to the email address associated with your account.

7.8 Non-Transferable, Non-Convertible

Balance is non-transferable between accounts and cannot be converted to cash or any other form of value. Balance may only be used for AI generation features within the Service.

7.9 No Refunds on Expired Balance

Balance that expires (whether through monthly expiration or 12-month inactivity) is not refundable. Platform fees are non-refundable. We encourage you to use your balance before it expires and to maintain an active subscription if you have purchased balance you wish to preserve.

8. Free Tier

The free tier allows you to use Stimma with your own AI providers (such as ComfyUI, LMStudio, or Ollama). Cloud generation features and premium AI models require a paid subscription and balance.

9. Payment Processing

Payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your complete payment card details.

If a payment fails, your subscription may enter a past-due state. During this time, your balance is frozen but preserved. Once payment is resolved, your balance will be restored with expiration dates extended by the duration of the payment issue.

10. Auto-Reload Authorization

Auto-Reload is an optional feature that automatically purchases balance when your available balance drops below a threshold you configure. The 5% platform fee applies to all Auto-Reload purchases. By enabling Auto-Reload, you authorize B1 Research, LLC to automatically charge your stored payment method when your balance falls below your selected threshold.

10.1 How Auto-Reload Works

  • Charges will be for the balance pack amount you selected in your Auto-Reload settings, plus the 5% platform fee
  • Charges occur automatically without per-charge approval when your balance drops below your threshold
  • A minimum of 60 seconds must pass between automatic charges
  • Auto-Reload only triggers after a job completes successfully, not during job execution

10.2 Monthly Spending Limit

You may optionally set a monthly spending limit on Auto-Reload charges. If no limit is set, automatic charges may occur without a monthly maximum. You are responsible for monitoring your usage and adjusting your settings accordingly.

10.3 Disabling Auto-Reload

You may disable Auto-Reload at any time in your account settings. Disabling stops future automatic charges but does not refund charges that have already been processed. Every Auto-Reload charge confirmation email includes a one-click disable link.

10.4 Payment Failures

If an Auto-Reload charge fails (due to card decline, insufficient funds, or expired card), Auto-Reload will be automatically paused. You will be notified by email with instructions on how to resolve the issue. You can re-enable Auto-Reload at any time after updating your payment method.

10.5 Your Acknowledgment

By enabling Auto-Reload, you acknowledge that: (1) charges occur automatically without per-charge approval, (2) you are responsible for monitoring your usage and settings, (3) this feature can be disabled at any time, and (4) refunds are not provided for Auto-Reload purchases except as required by law.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion. You may cancel your subscription at any time through the billing portal.

Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free tier and balance becomes frozen (see Section 7).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED CONTENT MAY NOT ALWAYS MEET YOUR EXPECTATIONS OR REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, B1 RESEARCH, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF BALANCE OR SUBSCRIPTION BENEFITS.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which B1 Research, LLC is incorporated, without regard to conflict of law principles.
